AMEDLA Asociación Médica Dental Latino Americana A.C., operating as the authorized user of the registered trademark AMEDLA Asociación Médica Dental Latino Americana®, as well as the trademarks Halo Awards® and AMEDLA USA™ (hereinafter, "AMEDLA", "The Association", or "We"), with registered domicile at Sabino 78, Los Reyes Ixtacala, Tlalnepantla de Baz, State of Mexico, Zip Code 54090, Mexico, is pleased to provide you with its websites, virtual campus, applications, content, events, products, and services in any medium, format, or channel, now known or hereafter devised (the "AMEDLA Services").

PLEASE READ THESE TERMS AND OUR PRIVACY NOTICE CAREFULLY BEFORE USING AMEDLA SERVICES. BY ACCESSING, REGISTERING, CREATING AN ACCOUNT, USING THE PLATFORMS, OR ATTENDING ANY ASSOCIATION EVENT, YOU UNCONDITIONALLY ACCEPT AND AGREE TO COMPLY WITH THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE WITH THESE CONDITIONS, YOU MUST REFRAIN FROM USING OUR SERVICES.

1. Contract and Scope of AMEDLA Services

These Terms govern the general use of all AMEDLA Services. This includes, but is not limited to: institutional websites (amedla.org, amedlausa.org), crowdfunding platforms (ko-fi.com/amedla), social networks, and participation in educational programs (Diplomas, Courses, Workshops, Webinars, Masterclasses), award ceremonies and galas (Halo Awards), Congresses, Symposiums, and any other academic, cultural, or commercial activity.

The Association may modify these Terms at any time and for any reason (including legislative, business model, or technological changes). Any substantial modification will become effective upon its publication in our official channels. Your continued use of the AMEDLA Services following the posting of changes constitutes your tacit and unconditional acceptance of such changes. You waive any claim for alleged lack of personal notification of such modifications.

2. Accounts, Passwords, and User Security

Some AMEDLA Services (such as the Virtual Campus / LMS) require the creation of an account. You agree to provide true, accurate, and up-to-date information. Your account is strictly for personal and non-transferable use.

You are solely responsible for maintaining the confidentiality of your username and password. It is strictly prohibited to share your access credentials with third parties to allow them free or commercial use of the platform. If AMEDLA detects simultaneous accesses from multiple locations or IP addresses that suggest the shared use of an account, we reserve the right to suspend or cancel your account immediately, permanently, and without the right to any type of refund.

3. Intellectual Property and Use Restrictions

AMEDLA Services are for your personal and non-commercial use (unless express authorization is granted for sponsors and allies). All content generated and operated by the Association, including teaching materials, clinical guidelines, presentations, source code, videos, and live broadcasts, are the exclusive property of AMEDLA Asociación Médica Dental Latino Americana A.C., or where applicable, the copyrighted property of our speakers or licensors.

Furthermore, you acknowledge and agree that the registered trademarks, trade names, and trade dress (including AMEDLA Asociación Médica Dental Latino Americana®, Halo Awards®, and AMEDLA USA™) are the exclusive intellectual property of their respective physical or legal owners, and that the Association acts solely as an authorized user for their exploitation and use within the AMEDLA Services.

You agree and bind yourself NOT to perform any of the following actions:

  • Reproduce, record, distribute, communicate to the public, transform, or sell any audiovisual content, teaching material, or AMEDLA software without express written authorization.
  • Use AMEDLA's content for the training, development, modification, or validation of any tool, algorithm, system, or Artificial Intelligence (AI) model or machine learning.
  • Perform data extraction (web scraping, data mining) from the Association's databases or directories.
  • Use the trademarks AMEDLA Asociación Médica Dental Latino Americana®, Halo Awards®, or AMEDLA USA™ in a way that suggests unauthorized sponsorship, affiliation, or endorsement.

Failure to comply with this clause will entitle AMEDLA and/or the intellectual property owners to immediately suspend your service and initiate the civil, criminal, and industrial property protection actions that correspond under applicable national and international laws.

4. Limitation of Liability and Medical Disclaimer

AMEDLA Services are provided "AS IS" and "AS AVAILABLE". The Association assumes no responsibility regarding any condition or warranty not expressly established in these Terms, nor does it guarantee that the platforms will be free of interruptions or network errors beyond our control.

Medical Disclaimer: The educational content provided in diplomas, courses, and congresses is designed for the updating of healthcare professionals. However, AMEDLA assumes no legal, medical, or civil liability for the clinical, surgical, or diagnostic application that students or attendees perform on their patients based on the acquired knowledge. The material may contain explicit images of anatomy and pathologies for strictly scientific purposes; professional discretion is required for its viewing and use.

In no event shall AMEDLA, its directors, speakers, or affiliates be liable for indirect, incidental, special, or consequential damages, including loss of profits, claims for medical malpractice, or property damage, arising from the use of AMEDLA Services.

5. Academic Offer, Accreditations, and Documentation
  • Accreditation and Grading: For the approval of evaluable programs, the student must obtain a minimum grade of 6.0 (six) out of 10 and meet the required attendance percentage. In case of failure, there will be no refund and the student must retake the course covering the corresponding fees.
  • Issuance of Documents: Official documents (diplomas, certificates) will be issued with the name exactly as entered by the user in their registration. If a document requires correction due to an error attributable to the user, they must cover the administrative costs of reissuance. If the error is AMEDLA's, it will be corrected at no cost.
  • Documentary Requirements: For the issuance of Diplomas with curricular value, it is an indispensable requirement that the user submits a copy of their Degree and Professional License (or equivalent in their country). For general update programs (workshops, masterclasses), this requirement may be waived.
  • Free Events: Attendance at free webinars may grant a digital certificate without curricular value. To obtain an official accreditation with credit hours, the user must cover the established recovery fee.

AMEDLA is not responsible for the loss of physical documentation sent by parcel delivery resulting from errors in the address provided by the user or carrier negligence.

6. Payments, Suspension, and Refund Policy

Transactions made on our platforms, including donations and payments through third-party gateways, are subject to the following strict and irrevocable policies:

  • Live / In-Person Events (Including the Halo Awards Gala): A 100% refund will only be granted if requested in writing at least 10 (ten) calendar days prior to the start of the event. After this date, 40% of the total value will be retained for administrative and logistical expenses. Once the event has started, there are no refunds under any circumstances.
  • Digital Content (LMS / On-Demand Courses): Due to the immediate nature of access to digital products, there are no refunds or cancellations once the user has logged into the platform or has been granted access credentials.
  • Academic Procedures: There are no refunds for concepts of certificates, diplomas, or credentials once the validation process before educational authorities has begun.
  • Cancellation by AMEDLA: If due to force majeure the Association permanently cancels an event, 100% of the fee paid by the user will be refunded.
  • Service Suspension: The delay or failure to pay two or more installments in deferred payment programs will entitle AMEDLA to temporarily or permanently suspend the student's access to the platforms, without the right to a refund of the amounts previously paid.
7. User-Generated Content

If AMEDLA Services allow you to post in forums, submit clinical cases, images, or comments ("User-Generated Content"), you represent and warrant that you possess the necessary legal rights and the express and informed consent of your patients (fully anonymizing their sensitive data) to share such information. By submitting or posting it, you grant AMEDLA a universal, non-exclusive, royalty-free, and irrevocable license to host, reproduce, and use such material for academic, statistical, and dissemination purposes.

You agree to indemnify and hold AMEDLA harmless against any lawsuit or claim filed by a third party (including patients) arising from our use of your User-Generated Content.

8. Termination and Right of Admission

AMEDLA reserves the right of admission to its in-person events and the right to immediately terminate or suspend this contract with you, blocking your access to AMEDLA Services, in the event that you breach any provision contained in these Terms, commit professional ethics violations, or exhibit hostile or defamatory behavior towards the Association, its members, or its staff.

9. Class Action Waiver and Jurisdiction

INDIVIDUAL RESOLUTION: You agree that any legal controversy or proceeding to resolve a dispute will be conducted strictly on an individual basis. YOU EXPRESSLY WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT, or in any other proceeding in which either party acts as a representative of other claimants.

For the interpretation, compliance, and execution of these Terms, the parties expressly agree to submit to the Federal Laws of the United Mexican States and to the jurisdiction of the competent Courts of the State of Mexico (based in Tlalnepantla de Baz), expressly waiving any other jurisdiction that might correspond to them by reason of their present or future domiciles.
